Terms of Business

The terms for our pay per meeting outbound service for solar companies.

PrivacyTermsCookiesOutreach notice

Last updated: 29 October 2026

These terms explain how we work with solar companies: what we do, what counts as a meeting you pay for, what we need from you and what happens if something goes wrong. We wrote them to be read, not just signed.

1. Who these terms apply to

These terms apply to all services that Agentic Solar, Vienna, Austria ("we", "us") provides to its clients ("you").

We work only with businesses. Our services are not offered to consumers within the meaning of the Austrian Consumer Protection Act (KSchG).

If we agree something different with you in writing, that agreement takes priority over these terms. Your own terms and conditions do not apply, even if you refer to them, unless we accept them in writing. In these terms, "in writing" includes email.

2. What we do

We build and run an outbound system that books qualified meetings for you. Depending on what we agree, this includes:

  • agreeing with you the criteria for the businesses and the people you want to meet, for example type of company, size, region, buildings and role;
  • finding businesses that match these criteria and the decision makers there, using public sources, business data providers and our own software;
  • setting up and running separate sending domains and inboxes, so that your main domain is not used for outreach;
  • writing personalised emails and follow ups for your market;
  • answering replies, partly with an AI reply agent that works within the facts and limits you approved;
  • checking interested leads against your criteria and booking those who match into your calendar, together with a few short questions answered before the call;
  • sending you the details of every booked meeting.

We decide how we run the system, including the tools, the sending volume and the timing, within what we agreed with you. We may use subcontractors and software providers for parts of the work and remain responsible to you for their work.

3. How we start

The descriptions, figures and examples on our website and in our presentations are information, not a binding offer. A contract is formed when we both confirm in writing the criteria, the price per meeting and the start of the work. We tell you when we expect the first emails to go out and the first meetings to be booked. These dates are estimates, not binding deadlines.

4. What counts as a qualified meeting

You pay only for qualified meetings. A meeting is qualified when all of these are true:

  1. it was booked for you through our outreach;
  2. the person you meet is a decision maker at a business that matches the criteria we agreed in writing;
  3. the meeting actually takes place, meaning the decision maker joins the call, video meeting or site visit at the booked time or at a new time agreed with them.

A meeting is not billed if:

  • the prospect does not show up and the meeting is not held at a new time;
  • the business was already your customer, or in active talks with you during the six months before we first contacted it, and you show this to us within the period for objections below, for example with an entry in your CRM or an email exchange. The easiest way to avoid this is to send us a list of your customers and open deals before we start;
  • it is a further meeting with a business that already had a billed meeting, for example a follow up call or a site visit.

If you do not attend a booked meeting, or cancel it less than 24 hours before the start and no new time is agreed with the prospect, the meeting counts as having taken place.

Please tell us within two working days after each booked meeting whether it took place. If you think a meeting that took place was not qualified, tell us in writing within five working days after the meeting and give the reason. We look at every objection in good faith, and if the meeting did not meet the agreed criteria, we do not bill it. If we do not receive an objection within this period, the meeting counts as qualified.

5. Prices

We agree the price per qualified meeting with you individually and in writing before we start, in euros or US dollars. Unless we agree otherwise in writing, there is no setup fee, no retainer and no commission, and you pay nothing for meetings that do not take place.

All prices are net. VAT is added where it applies. For business clients in other EU countries, the reverse charge procedure applies where the legal conditions are met.

We may change the price for future meetings by telling you in writing at least 30 days in advance. If you do not accept the new price, you can end the agreement before it takes effect.

6. Invoices and payment

At the start of each month we send you an invoice by email for the qualified meetings that took place in the previous month, listing each meeting with the date, the company and the person you met. Invoices are due within 14 days of the invoice date, without deductions.

If you pay late, we may charge the statutory default interest for business transactions under § 456 UGB and the flat compensation for recovery costs under § 458 UGB. If an invoice is still unpaid 14 days after a reminder, we may pause the outreach and the booking of new meetings until it is paid.

You may only set off our invoices against claims that we have accepted in writing or that a court has confirmed.

7. No guarantee of results

We work hard to fill your calendar, but we do not guarantee a number of meetings, a time frame, a reply rate or that any meeting turns into a sale. Results depend on your market, your offer, your references, the season and the decisions of the people we write to. Numbers we mention on our website, on calls or in proposals are estimates or past results with other clients, not promises. The pay per meeting model is how we share this risk with you: if no qualified meeting takes place, you pay nothing.

8. What we need from you

  • Information: you give us correct and complete information about your company, your offer, your references, your criteria and your service area, and you tell us which businesses we must not contact, such as existing customers and open deals.
  • Approving the emails: before we start, you review and approve the first emails and follow ups. We only start sending after your approval. Replies to prospects are written individually by our team and our AI reply agent within the facts and limits you approved.
  • True claims: you make sure that everything we say about you in the approved emails is true, including your projects, references, prices and offers, and that you are allowed to name the references you give us.
  • Calendar: you give us a way to book meetings, such as access to your calendar or a booking link, and keep your availability up to date.
  • Showing up: you attend every booked meeting on time with someone who can answer the prospect's questions and make an offer, and you tell us early if you cannot.
  • Feedback: you tell us whether each meeting took place, as described in section 4.
  • Opt outs: if a person tells you that they do not want to be contacted, you respect that and tell us, so that we stop as well.
  • Your industry: you tell us about any special rules that apply to advertising your products or services.

If you do not meet these duties and this delays or prevents meetings, that is not a breach on our side.

9. Exclusivity

We work for you exclusively, for example in a region or for a type of customer, only if we agree this in writing, including its scope and duration. Without such an agreement we may work for other solar companies, including companies in your region. We never share your confidential information with them.

10. Sending domains, systems and content

The sending domains and inboxes we set up remain ours unless we agree otherwise in writing. Our software, systems, prompts, templates, data and methods also remain ours.

The rights to the email texts we write for you stay with us. If you want to keep using them after the agreement ends, we agree that separately.

You give us the right to use your company name, logo, offer and references in the outreach we run for you, and, where we agree this, to send emails in your name. You may use the contact details and information from the meetings we book for you freely for your own business.

We may name you as a client, with your name and logo, on our website and in our sales material unless you tell us in writing that you do not want this. We only publish results or figures from your campaign with your approval.

11. Data protection

For the business contact data we collect and the outreach we run, we are the controller under the GDPR. We process this data as described in our privacy policy and our outreach notice, and we handle opt outs and requests from the people we contact.

When a meeting is booked, we pass the details of the person to you. From then on you are a separate controller for that data and responsible for your own processing, including requests and opt outs that reach you.

If you give us personal data to work with, such as a list of your customers to exclude or an export from your CRM, we process it only on your instructions and only for our service, as your processor. For this we conclude a data processing agreement with you under Art. 28 GDPR.

Each of us complies with the data protection law that applies to it.

12. Confidentiality

Both of us keep confidential everything we learn about the other's business during our work together, such as prices, customers, results and methods, and use it only for this agreement. This continues after the agreement ends. It does not apply to information that is public or that the law requires us to disclose.

13. Liability

We are liable without limit for damage we cause intentionally or through gross negligence, and for personal injury. We are not liable for damage caused through slight negligence, except for personal injury.

Where the law does not allow us to exclude liability for slight negligence, our liability is limited to the damage that was typical and foreseeable when the contract was formed, and in total to the fees you paid us in the twelve months before the event that caused the damage. In that case we are not liable for lost profit, lost deals or indirect damage.

We are not responsible for decisions of the people we contact, for the outcome of meetings, or for changes made by email providers, data providers or other third parties that we cannot control, such as stricter spam filters.

Nothing in these terms limits liability where the law does not allow it to be limited.

14. Your content

You are responsible for your offer and for the claims, references and other content you give us or approve. If a third party makes a claim against us because this content was untrue or infringed their rights, you indemnify us against that claim and the reasonable costs of defending it.

15. Term and termination

Our agreement runs for an unlimited time unless we agree a fixed term. Either of us can end it in writing with 14 days notice, without giving a reason.

Either of us can end it in writing with immediate effect for good cause, for example if the other side seriously breaches its duties and does not fix the breach within a reasonable period after being asked to, or if you are more than 30 days late with a payment.

Qualified meetings that we booked before the agreement ends are billed as normal, even if they take place after the end. Sections 10 to 14 and 17 continue to apply after the end.

16. Changes to these terms

We may update these terms. For running agreements, we tell you about changes in writing at least 30 days before they take effect. If you do not agree, you can end the agreement before the change takes effect. Otherwise the new version applies from that date.

17. Final provisions

Austrian law applies, excluding its conflict of laws rules and the UN Convention on Contracts for the International Sale of Goods.

The exclusive place of jurisdiction for all disputes arising from or in connection with our agreement is Vienna, Austria, and the court with subject matter jurisdiction for the first district of Vienna (Innere Stadt) decides. We may also sue you at your general place of jurisdiction.

If any provision of these terms is invalid, the rest remain valid, and the invalid provision is replaced by a valid one that comes as close as possible to its purpose.

These terms are written in English. If we provide a translation, the English version prevails.
